This Agreement is entered into as of March 17, 2025, by and between:
Service Provider: Pastis Enterprises / South Valley Hosting (“Provider”) Client: Eric Avila, Avila General Engineering Co. (“Client”)
1. Scope of Services
The Provider agrees to deliver SEO services as outlined in the proposal, including but not limited to:
- On-page optimization (e.g., keyword research, meta updates, image alt-text optimization).
- Off-page optimization (e.g., backlink building, Google Business profile management).
- Ongoing performance monitoring and reporting.
2. Payment Terms
- Initial Setup Costs: $930–$1,505, based on the scope of work.
- Ongoing Monthly Maintenance: $230–$330 per month, inclusive of MarketGoo subscription fees.

3. Client Responsibilities
- Provide access to necessary accounts (e.g., website admin, analytics, social profiles).
- Supply requested materials (e.g., content, images) promptly to avoid delays.
4. Deliverables Timeline
- Initial phase completion within 2–4 weeks of project start.
- Monthly ongoing maintenance and optimizations.
5. Performance Disclaimer
The Provider cannot guarantee specific search engine rankings or traffic volumes, as these depend on external factors, including algorithms and competition.
6. Confidentiality
All client information and data will remain confidential and used solely for SEO services.
7. Ownership of Work
Upon full payment, the Client owns the rights to all delivered work. Third-party tools (e.g., MarketGoo) are subject to their respective licenses.
8. Termination Policy
Either party may terminate this agreement with 15 days’ written notice. Client will pay for all completed work up to the termination date.
9. Liability Limitations
The Provider is not liable for issues caused by third-party services, unforeseen penalties, or force majeure events.
10. Reporting and Communication
- Regular performance updates and progress reports will be shared on a biweekly basis.
- Preferred communication methods include email and phone calls.
11. Revisions and Additional Work
Work outside the agreed scope (e.g., additional blog posts) will be billed separately at $25/hour.
12. Governing Law
This Agreement shall be governed by the laws of the State of California.
